Woodbridge Music Club Bylaws


The name of this organization shall be the Woodbridge Music Club.


The purpose of this organization shall be to promote and encourage an appreciation of music, and to provide opportunities for musical study and performance.


Membership in the Woodbridge Music Club consists of individuals who pay annual dues.


General membership meetings will be held September through June. Meetings of the Board of Directors will be held at the discretion of the President.


The Board of Directors shall establish annual dues for members. Dues shall be paid in the month of May or at a time authorized by the Board of Directors.


The President shall appoint a Chairman of the Nominating Committee in January. This committee will consist of at least three (3) active members. The Committee Chairman will present a slate of officers and accept nominations from the floor at the meeting immediately prior to the May meeting. Officers will be elected and installed at the May meeting.


Section 1. The officers shall be President, Vice President, Secretary, and Treasurer.
Section 2. Officers will be elected for a two-year TERM. Officers shall be eligible to serve in the same office for more than two (2) consecutive TERMS with a majority vote of the membership present.
Section 3. A vacancy shall be filled by Presidential appointment until the next regular election.


Section 1. The President shall preside at all meetings of this club, appoint a Chairman of each committee, act as an ex-officio member of all committees except the Nominating Committee, and may sign checks in the absence of the Treasurer.
Section 2. The Vice-president shall aid the president in whatever ways are necessary. Vice President will then serve as president in the succeeding 2-year term of office.
Section 3. The Secretary shall record the proceedings of all the meetings and conduct any necessary correspondence.
Section 4. The Treasurer shall collect dues or monies belonging to the club, make necessary deposits in the bank, sign all checks for authorized disbursements, keep an accurate account of the foregoing transactions, and render a statement of the treasury at all meetings and/or upon the request of the President. He/she will complete an annual certified financial statement by June 30 that will become part of the club records.


Section 1. The Board of Directors will be comprised of the Club Officers and Chairmen of Committees.
Section 2. The functions of the Board will be to establish policies and to manage funds for the Woodbridge Music Club. The board of directors must approve unbudgeted expenditures.
Section 3. Policies and finances shall be established by a majority vote (50% + 1) of the entire Board of Directors.
Section 4. All Officers and Chairmen of committees shall turn over their files to their successors at the May meetings.


Section 1. Committees will be established by the Board of Directors to meet the needs of the Woodbridge Music Club.
Section 2. All Committees will have a Chairman. The President-elect will appoint the Committee Chairmen for two-year TERMS. Committee Chairmen may also be appointed to serve in the office for more than two (2) consecutive TERMS.
Section 3. All committees shall operate under the direction of the Board of Directors.
Section 4. Committee Chairmen will present monthly reports to the Board of Director


This constitution shall be amended by a two-thirds vote of the members present and voting at any regular meeting provided that notice of such amendment has been given at a
previous regular meeting and a copy thereof has been sent to each member of the Woodbridge Music Club at least five (5) days prior to action thereon.


Upon dissolution of the organization, the Board of Directors shall first pay all obligations due and owing by the organization or that will become due and owing by the organization, and all the remaining funds and assets of the organization shall be turned over to the National Scholarship funds of the organization, or equally divided among other scholarship funds according to the wishes of the Board of Directors.


The Woodbridge Music Club is organized for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations under Section 501 (c)(3) of the Internal Revenue Code (or the corresponding section of any future Federal tax code.)


No part of the net earnings of the Woodbridge Music Club shall inure to the benefit of, or be distributable to its members, trustees, directors, officers or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of Section 501(c)(3) purposes. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of, or in opposition to any candidate for public office.

Notwithstanding any other provision of these articles, the Woodbridge Music Club shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal income tax under Section S01 (c)(3) of the Internal Revenue Code (or corresponding section of any future Federal Tax code or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, (or corresponding section of any future Federal tax code).


Upon the dissolution of the Woodbridge Music Club assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future tax code, or shall be distributed to the federal Government, or to a state or local government, for a public purpose.


If the named recipient is not then in existence or no longer a qualified distributee, or unwilling or unable to accept the distribution, then the assets of the Woodbridge Music Club shall be distributed to a fund, foundation or corporation organized and operated exclusively for the purposes specified in Section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal tax code).
